This Agreement is between Train-Track Analytics LLC and the institution accessing or using TrainTrack. It consists of the Order Form and Key Terms below, together with the Common Paper Cloud Service Standard Terms Version 2.1, which are incorporated by reference and not reproduced here. If your institution has signed a separate order form with us and that agreement has not ended, the terms below do not apply to you and that agreement governs instead. By signing up for, accessing, or using TrainTrack, you accept this Agreement. If you are doing so for a residency program, you represent that you are authorized to accept it on that institution’s behalf.

Order Form

The business terms of your subscription. Capitalized words not defined here have the meanings given in the Common Paper Cloud Service Standard Terms Version 2.1.

Framework Terms: This Order Form incorporates and is governed by the Common Paper Cloud Service Standard Terms Version 2.1. Any modification made under “Attachments, supplements, and modifications” below controls over a conflicting provision of the Standard Terms.
Cloud Service: TrainTrack, a hosted service that ingests ACGME case-log exports for a neurosurgery residency program, merges them into an accumulated case history, and produces per-resident and program-wide analytical reports.
Order Date: The Effective Date.
Subscription Period: One year.
Cloud Service Fees: An annual subscription priced by resident headcount, at the tier rates published on our pricing page. Customer declares its resident headcount when subscribing, and that declaration selects the tier. Fees for a Subscription Period are non-refundable except where the Standard Terms provide otherwise. We may change tier pricing on at least 30 days notice, by email or in-product notice, and the change takes effect in the next Subscription Period.
Payment Process: Customer authorizes Provider to bill and charge the payment method on file annually, in advance, for immediate payment without further approval. Billing is processed by Stripe; receipts and payment methods are available on the Billing page in the Product.
Non-Renewal Notice Period: At least 30 days before the end of the current Subscription Period. Otherwise the subscription renews automatically for another Subscription Period at the then-current rate for the applicable tier.
Use Limitations: One subscription covers one residency program. A demo account is limited to three uploads and to preview reports covering the senior active cohort. Reports already produced by a completed run remain readable and downloadable if the subscription later lapses.
Technical Support: Best-effort support by email at traintrackanalytics@gmail.com. Provider does not commit to response-time targets.
SLA: None. TrainTrack does not commit to an uptime service level.
Professional Services: None.

Key Terms

The legal details of the Agreement.

Customer: The institution or person who accesses or uses TrainTrack. Where the person accepting this Agreement does so on behalf of an institution, “Customer” means that institution.
Provider: Train-Track Analytics LLC, a Texas limited liability company.
Effective Date: The date Customer first accepts this Agreement.
Governing Law: The State of Texas, United States.
Chosen Courts: The state and federal courts located in Harris County, Texas.
Provider Covered Claims: Any action, proceeding, or claim that TrainTrack, when used by Customer according to this Agreement, violates, misappropriates, or otherwise infringes upon a third party’s intellectual property or other proprietary rights.
Customer Covered Claims: Any action, proceeding, or claim (1) that the Customer Content, when used according to this Agreement, violates, misappropriates, or otherwise infringes upon a third party’s intellectual property or other proprietary rights; and (2) arising from or relating to Customer’s breach or alleged breach of Section 2.1 of the Standard Terms.
General Cap Amount: 1x the fees paid or payable by Customer to Provider in the 12 month period immediately before the claim.
Increased Claims: Breach of Section 3 (Privacy & Security) and breach of Section 10 (Confidentiality) of the Standard Terms.
Increased Cap Amount: 2x the fees paid or payable by Customer to Provider in the 12 month period immediately before the claim.
Unlimited Claims: None.
Additional Warranties: None.

Attachments, supplements, and modifications

Everything below either attaches a document to this Agreement or changes a numbered section of the Standard Terms. These are the only departures from the standard text.

Authorized data (modifies Section 3.2): Section 3.2 of the Standard Terms otherwise prohibits submitting information regulated by HIPAA, and ACGME case-log exports may contain it. Customer is therefore authorized to submit ACGME case-log exports to TrainTrack, and only those, provided that a Business Associate Agreement between the parties is in effect at the time of submission. TrainTrack removes identifying columns server-side before an uploaded case log is persisted for analysis, and permanently deletes the original upload afterward. Customer must not submit any other category of Prohibited Data, including financial account numbers or government ID numbers.
BAA: Executed per institution, on request. Email traintrackanalytics@gmail.com and Provider will put a Business Associate Agreement in place before Customer submits any case-log export.
DPA: None. TrainTrack serves United States institutions and does not accept Personal Data governed by GDPR. Contact traintrackanalytics@gmail.com if your institution requires a Data Processing Agreement.
Security Policy: The security practices described in the “How we secure your data” section of the Privacy Policy.
No model training (deletes Section 1.6): Section 1.6 (Machine Learning) of the Standard Terms does not apply and is deleted. Provider will not use Customer Content to develop, train, or enhance artificial intelligence or machine learning models, whether or not the Customer Content is aggregated or de-identified first. Provider’s use of Usage Data under Section 1.4 is unaffected.
Reports are not a system of record (supplements Section 7): TrainTrack produces analytical reports from the case logs Customer uploads. Those reports are not a system of record and are not a substitute for ACGME’s own case-log system or for Customer’s judgment. Customer must not rely on TrainTrack as the basis for an ACGME compliance determination, a credentialing or privileging decision, a promotion or graduation decision, or any clinical decision. Report accuracy depends on the completeness and accuracy of what Customer uploads, and the analysis applies fixed assumptions that may not fit every program. Consistent with Section 2.1(a)(viii) of the Standard Terms, TrainTrack must not be used for High Risk Activities.
Headcount verification and tier changes (supplements Section 4): Customer declares a resident headcount when subscribing, and that declaration selects the tier and the Fees. After each standard report run, TrainTrack counts the active residents who would receive reports in the uploaded case log. If that count exceeds the ceiling of Customer’s current tier, the run pauses and further standard runs are held until Customer moves the subscription to the correct tier, which is charged on a prorated basis through Stripe. Paused runs resume automatically once the correct tier is active. Residents retained only in historical benchmarks are not counted.
Approval of new institutions (supplements Section 2.2): A new self-serve signup is held pending approval before it may upload data or run reports. Provider may decline to approve an institution, or later withdraw approval, at its discretion. Where an unapproved or withdrawn account has paid Fees, Provider will refund the Fees for the unused remainder of the Subscription Period.
Deletion on termination (modifies Section 5.5(b)): Replacing the 60-day period in Section 5.5(b): on a verified deletion request, Provider deletes Customer Content on the schedule published in the Privacy Policy, which is faster than 60 days for live data and describes the separate, bounded window over which deleted content ages out of encrypted backups.
